Terms of Service

By creating an account or using NITEPASS, you agree to these Terms of Service, our Privacy Policy, and our Data Policy. If you do not agree, do not use the Service.

NITEPASS is a nightlife discovery, access, and loyalty platform. Guests discover venues and events, join guest lists, scan a dynamic NITEPASS QR at doors, and earn cross-venue NITE POINTS and status. Promoters publish events and build digital guest lists. Venues publish their storefront, scan guests, run NITE DROPS, and view analytics.

NITEPASS is a technology platform. We are not the operator, owner, or promoter of any listed venue or event, and we do not control door decisions, capacity, pricing, or venue conduct.

You must provide accurate information, be at least 18 years old, and keep your credentials confidential. One person per account. You are responsible for activity under your account. We may suspend accounts that abuse the platform, attempt scan fraud, or harass other users.

Your NITEPASS is personal and non-transferable. Codes rotate every 30 seconds and are single-use per event unless re-entry is authorized. Attempting to share, duplicate, sell, or spoof passes — or to manipulate check-ins, NITE PULSE scores, or rewards — is grounds for immediate termination and forfeiture of points and earnings.

A successful scan records a verified visit but entry is always at the venue's sole discretion (capacity, dress code, age, safety, or any lawful reason). A NITEPASS reward or guest-list pass does not guarantee admission.

NITE POINTS and status tiers (Member, Insider, VIP, Elite, Icon) are loyalty recognition, not currency. They have no cash value, cannot be transferred or sold, and may be adjusted for fraud or error. Venue rewards (e.g., free drink at 5 visits) are offered and fulfilled by the venue; NITEPASS verifies eligibility but is not liable if a venue declines a reward.

NITE DROPS are limited-quantity offers fulfilled first-come, first-scanned. Remaining counts are displayed in good faith but real-time demand may exhaust a drop before you arrive.

Promoter subscriptions are $25/year. You may publish events, build guest lists, and invite guests. You must have the right to promote any event you publish and must not spam invitees. Guest-list passes you issue carry your attribution; earnings shown in your dashboard are calculated from verified scans under the payout model set by the venue (per guest, paid guest only, revenue share, milestones, flat plus performance, or custom).

Payouts are paid by the venue, not by NITEPASS. NITEPASS calculates and records amounts owed as a neutral source of truth for both parties, but we are not a party to your compensation agreement and are not responsible for a venue's failure to pay. Promoter Scores are computed from verified activity and may be displayed publicly.

Venue subscriptions are $99/year. You are responsible for the accuracy of what you publish (hours, cover, dress code, rewards, drops) and for honoring rewards and guest-list terms you advertise. Scanner accounts must be used only by authorized door staff at authorized entry points. You must pay promoters the amounts your configured payout models produce from verified scans.

Venues must comply with all applicable laws — alcohol licensing, capacity, age verification, and safety. NITEPASS check-in data does not replace legal ID verification at the door.

Subscriptions are billed annually through Stripe and renew automatically unless canceled before renewal. Founding pricing ($25 promoter / $99 venue) may change for future billing periods with 30 days' notice. Fees are non-refundable except where required by law. Ticket, table, or cover payments facilitated in the future will be governed by additional terms presented at purchase.

You agree not to: scrape or reverse-engineer the Service; create fake accounts, check-ins, or reviews; manipulate NITE PULSE, drops, leaderboards, or Promoter Scores; harass or endanger others; or use the Service for anything unlawful. We may remove content, void rewards, and suspend or terminate accounts for violations.

You retain ownership of content you upload (flyers, photos, event descriptions) and grant NITEPASS a non-exclusive, worldwide license to display it within the Service and in promoting your listing. Do not upload content you don't have rights to. We may remove infringing content upon notice (DMCA: contact Imjovetech@gmail.com).

THE SERVICE IS PROVIDED "AS IS". NITEPULSE scores, crowd levels, distances, and "going" counts are estimates, not guarantees. To the maximum extent permitted by law, NITEPASS is not liable for indirect, incidental, or consequential damages, for venue or promoter conduct, for denied entry, or for events at third-party establishments. Our aggregate liability is limited to the fees you paid us in the 12 months before the claim, or $100 if none.

Nightlife involves inherent risks. Drink responsibly, plan a safe ride, and look out for your crew.

These terms are governed by the laws of the State of Texas, with disputes resolved in Bexar County, TX, except where local consumer law requires otherwise. If any provision is unenforceable, the rest remain in effect. We may update these terms with notice; continued use constitutes acceptance.
